Preamble

This agreement aims to foster a cordial relationship between both parties and to preserve the minimum rights and obligations related to the exchange of information. It serves to ensure seriousness in discussing any potential collaboration opportunities, including partnerships or other business arrangements.

Clause One: Definition of Confidential Information

Confidential information includes all data and information exchanged between the two parties, whether written, verbal, or electronic, including—but not limited to—strategies, plans, projects, directions, and discussions related to potential collaboration. Both parties agree to maintain the confidentiality of such information and not to disclose it to any third party without the prior written consent of the disclosing party.

Clause Two: Limitations on the Use of Confidential Information

Both parties agree to use the confidential information solely for the purposes outlined in this agreement and not to exploit it for any other purpose without the explicit consent of the concerned party.

Clause Three: Refraining from Unauthorised Use

Both parties commit to refraining from using the confidential information in any manner that contradicts the purpose of this agreement or causes harm to the other party. Furthermore, the transfer or sharing of such information with any other entity is strictly prohibited without prior written authorisation.

Clause Four: Confidentiality Obligation After Termination of the Agreement

In the event of termination of this agreement for any reason, both parties remain bound by their obligation to maintain the confidentiality of the information. Neither party may use or disclose such information, and both parties agree to refrain from engaging in direct or indirect competition based on the information exchanged during the term of the agreement.

Clause Five: Liability for Breach of Agreement and Dispute Resolution

Neither party shall breach the terms of this agreement. In the event of any dispute, both parties shall seek to resolve it amicably in good faith and with mutual trust. If a satisfactory resolution cannot be reached, the dispute shall be referred to the Commercial Court in Riyadh, Kingdom of Saudi Arabia, for adjudication in accordance with the applicable laws and regulations.

Clause Six: Non-Disclosure Commitment

I solemnly pledge, before God and my own conscience, not to disclose, share, transfer, or retain any of the information, ideas, or projects presented by the First Party during or after meetings or negotiations—regardless of whether an agreement is reached between the parties. All intellectual property and information provided shall remain the sole and exclusive property of the First Party.
